  本文具体包括四个部分：第一部分主要探究跨境证券发行与上市及其法律特点和所涉及的法律规则；第二部分从私法的角度，对跨境证券发行与上市中所面临的几个核心和热点法律问题进行了研究，主要包括发行人的主体资格、发行与上市的方式、公司治理问题、类别股与类别股东保护，以及法律冲突与法律适用等问题；第三部分从公法的视角，就跨境证券发行与上市的法律监管及国际间的合作进行探讨；第四部分在考察我国现行的海外上市制度的基础上，笔者根据我国的实际情况和从发展的角度，就我国海外发行与上市制度所存在的问题及其完善、我国如何参与国际监管合作等提出了初步的意见和建议。
